Corporate Finance (Spring 2018)

In the United States, Corporations and financial markets play prominent roles in economic, cultural, and political life. Fundamental policy decisions that affect everyone are driven primarily by financial and economic considerations. Corporate lawyers support and implement these business decisions. Corporate Finance will help students understand key business concepts and related laws and regulations so that students can work more effectively with sophisticated clients. The course is organized around four basic units: Valuing the Firm; Financing the Firm; Selling the Firm; and The Firm in Financial Distress.
Corporate Finance expands on concepts introduced in first year classes such as Contracts, Fundamental Business Principles, and to a lesser extent, Property. Corporate Finance is recommended for all students considering a career in corporate law, in financial services, in real estate, insurance, business, or in a policy-making role.
Students are encouraged to take a class on Business Organizations either contemporaneously with or prior to Corporate Finance. Additional courses that may be helpful and interesting, but are not required to benefit from the Corporate Finance course, include bankruptcy, secured transactions, and securities regulation.
